About these Partner Terms
These Partner Terms are an agreement between you and [Company legal name] (“BayChange”, “we”, “us”) about the BayChange partner program (the “Program”). Words defined in the Terms of Use have the same meaning here. If these Partner Terms and the Terms of Use conflict on a Program matter, these Partner Terms apply.
You accept these Partner Terms when you turn on the Program in your account.
Joining the program
- You need a BayChange account. Any account holder may join, as an individual or for a business.
- You must meet the eligibility rules of the Terms of Use: be at least 18, not be a Restricted Person, and not be located in a Restricted Jurisdiction.
- We may ask for more information about you or your business before paying you, for example if the law requires it or your earnings exceed [threshold]. We may refuse or end participation if you don't provide it.
Your link, your widget and attribution
Partner link
Your partner code works on any BayChange page: https://baychange.com/?ref=your-code. When someone opens such a link, their browser remembers your code for 30 days. An exchange they create in that time is credited to you. If they later open another partner's link, the latest link counts. If their browser blocks storage or they clear it, we can't credit you.
Widget
You may place our exchange widget (baychange.com/embed) on sites you control, using the code from your account or the developer page. Exchanges created in a widget with your code are credited to you. The order page with the deposit address always opens on baychange.com. Don't change, cover or crop the widget, and don't collect your visitors' addresses outside it.
Our records decide
Whether an exchange is credited to you is decided by our records. We don't credit exchanges retroactively because a visitor forgot to use your link.
What you earn
- For each completed exchange credited to you, you earn 30% of our fee on it. Our fee is estimated as the US dollar value of the deposit at the time of the exchange multiplied by our fee rate for that order, after any level discount of the customer.
- You earn nothing on refunded, expired or failed orders, and nothing on the Protocol's fees or network fees.
- Self-referrals. Exchanges you create while signed in to your own account through your own link or widget don't earn a share. You still get points as a customer. Using other accounts, people acting for you or other tricks to earn a share on your own exchanges is not allowed.
- Your earnings are shown in your account in US dollars. They are estimates until paid. We may correct errors, including after payment, by adjusting future earnings.
Payouts
- You can request a payout in your account once at least $20 is available. One request can be open at a time.
- We pay in USDT on Tron, Ethereum, Arbitrum or Solana, to an address you give. We screen the address as described in the AML & Sanctions Policy and can't pay to an address that doesn't pass.
- We send payouts manually, usually within [3 business days]. The network fee for the payout is paid by [us / deducted from the payout]. The amount in USDT equals the amount in US dollars shown in the request.
- Check the address and network carefully: a payout sent to the address you gave is final. If the address is wrong, we can't recover the funds.
- We may hold a payout while we look into suspected abuse, fraud or a breach of these Partner Terms, and cancel earnings that resulted from it.
- You are responsible for any taxes on your earnings.
How you may promote BayChange
- Describe BayChange accurately: a non-custodial service where swaps are executed by an independent, decentralised cross-chain protocol, with the fee shown before sending. Use the facts on our site.
- Don't promise rates, privacy features, speed or income that we don't offer, and don't present BayChange as a way to avoid sanctions, checks or the law.
- Say that you are a BayChange partner where the law or the platform you use requires it.
- Follow the laws on advertising, consumer protection, spam and data protection that apply to you and your audience.
What is not allowed
- Spam: unsolicited emails, messages, comments or posts.
- Search ads on the BayChange name or misspellings of it, and domains or accounts that could be confused with ours.
- Fake traffic, forced or hidden clicks, setting partner codes without a visitor's real visit, or pages that pretend to be BayChange.
- Paying or rewarding people to create exchanges in a way we haven't agreed in writing.
- Targeting Restricted Persons or people in Restricted Jurisdictions, or helping anyone get around our screening.
- Placing the widget on sites with illegal content or content that promotes fraud, hacking or money laundering.
Pausing and ending
- We may pause your participation at any time while we review it. While paused, new exchanges aren't credited to you and you can't request payouts.
- We may end your participation, with or without cause, by notice in your account or by email. If we end it for a breach of these Partner Terms, we may cancel unpaid earnings. Otherwise we pay the available balance of at least $20 on request.
- You may leave at any time. Request your payout first: deleting your account deletes your unpaid earnings. [Balances below the minimum on leaving — forfeited or paid out].
Using our name and logo
While you take part, you may use the BayChange name and logo only to refer to BayChange and link to it, as provided on our site and without changes. This doesn't make you our agent or representative, and you may not make promises or sign anything on our behalf. Your permission ends when your participation ends.
Data and privacy
- In your account you see the date, coins, amount in US dollars, status and your share for each exchange credited to you. We don't give you your visitors' addresses, email addresses or order numbers.
- When a visitor creates an order in your widget, your page receives the order number (see the developer page). Anyone with this number can open the order page. Keep it confidential and use it only to measure your results.
- You are responsible for your own site and its privacy notice. How we handle your data is described in our Privacy Policy.
Changes to the program
We may change the Program, including the share, the minimum payout and the payout coins, or end it. We'll show the change in your account and on this page at least [14 days] before it applies, unless the law or a security reason requires a faster change. Earnings credited before a change keep the rules in force when they were credited.
Liability
The Program and the widget are provided “as is”. The “No warranties”, “Limitation of liability” and “Indemnity” sections of the Terms of Use apply to the Program as well. [Cap on liability to partners, for example the earnings paid in the last 12 months].
